Spencer Spirit Holdings, the company behind Spirit Halloween, has signed a definitive agreement to buy Hot Topic, Inc. and its three brands: Hot Topic, BoxLunch, and Her Universe. The deal was announced August 6 and would put six retail brands and more than 3,000 North American stores under one owner.
The seller is Sycamore Partners, which has owned Hot Topic, Inc. since 2013.
The Six Brands
Per the announcement, Spencer Spirit already owns:
- Spirit Halloween, founded 1983, “the largest Halloween retailer in North America,” operating more than 1,550 locations
- Spencer’s, founded 1947 and entering its 80th year, with more than 650 locations
- Spirit Christmas, introduced in 2024 and “expected to have 44 locations this year”
It is acquiring:
- Hot Topic, founded 1989, described as “a cultural icon and fandom haven for shoppers obsessed with music, entertainment and all things pop culture,” with over 615 stores in the U.S. and Canada
- BoxLunch, launched 2015, with more than 280 U.S. stores. For every $10 spent in-store or online, BoxLunch donates at least one meal through Feeding America
- Her Universe, founded 2010, “a lifestyle fashion brand focused on creating quality, fandom-centric apparel and accessories”
What Happens to Hot Topic
The three Hot Topic brands “will continue to operate independently from the Spencer Spirit business and maintain their existing headquarters in California,” per the announcement.
Steve Vranes stays on as CEO of Hot Topic, Inc., a job he has held for over 10 years, overseeing the three brands’ day-to-day operations alongside his executive team. He will report to Spencer Spirit CEO Steven Silverstein.
“By joining a complementary portfolio while maintaining our operational independence, we can build on the tremendous growth our teams have delivered over the past decade and drive even more opportunities for expansion,” Vranes said.
Silverstein framed it as a match of audiences rather than a merger of operations. “While our operating models and strategies cater to unique and different audiences, our core values, mission, and commitment to innovation are completely aligned,” he said. “This transaction enhances our long-term durability, broadens our reach, and positions us to write the next chapter of retail history together.”
Will Hot Topic Merchandise Show Up in Spirit Halloween Stores?
The announcement does not describe any. It commits to the opposite.
The only shared benefits it names are behind the scenes. The combination, it says, will leave each of the brands “better positioned to accelerate future growth, deepen licensor and vendor partnerships, and expand real estate opportunities across their combined footprint.” That is licensing and store leases, not co-branded product. Nothing announced so far describes a Hot Topic section inside a Spirit Halloween, or the reverse.
Seasonal Stores and Year-Round Malls
Spirit Halloween’s stores are seasonal. They open in vacated retail space, mostly through August, and close after Halloween. Our own count of the stores Spirit moved into this year found 137 former JOANN units, 93 Big Lots, 85 Party City and 68 Rite Aid, chains that each liquidated or shrank across 2024 and 2025.
Hot Topic and BoxLunch run about 895 permanent stores that trade year round. The announcement says the combination will let the brands “expand real estate opportunities across their combined footprint,” without describing how.
Spirit says it is opening 1,575 locations this season, with more than 52,000 seasonal positions posted to staff them.
No Price, and a Third-Quarter Close
No purchase price appears in the announcement. Ahead of it, Bloomberg reported the deal was nearing a $350 million sale, a figure HAN has not independently confirmed and the companies have not stated.
The transaction “is subject to customary closing conditions and regulatory approvals” and is expected to close in the third quarter. Nothing has been said about store closures, and nothing has been said about changes at Spirit Halloween for the 2026 season, which is already underway.
Who owns Spirit Halloween?
Spirit Halloween is owned by Spencer Spirit Holdings, the parent company that also runs the Spencer’s retail chain. With this acquisition, Spencer Spirit Holdings adds Hot Topic, BoxLunch, and Her Universe to its brands, putting six retail names under one owner.
